1. Acceptance of these terms

By creating an account or otherwise using MicroBiz by VES (the "Service"), you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and us, consistent with Republic Act No. 8792 (the Electronic Commerce Act of 2000), which recognizes electronic documents and consent as legally valid.

2. Who operates this service

MicroBiz by VES is operated by Hipolito B. Binos Jr., doing business as "Via Express Solutions" ("we", "us", "our"), based in the Philippines. You can reach us at viaexpresssolutions@gmail.com or through our Contact page.

3. Eligibility and accounts

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
  • You must provide accurate registration information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
  • One account is intended for one business/individual. You may not share your login credentials with unrelated third parties.

4. Description of the Service

MicroBiz is a business-management tool that lets you record and view sales, expenses, inventory, digital wallet transactions, loans, and related business data, and generate reports from that data. It is a record-keeping and reporting aid — it is not accounting, tax, or legal advice, and we do not guarantee that reports generated by the Service satisfy any specific regulatory, tax, or accounting requirement. Consult a licensed accountant or lawyer for advice specific to your business.

5. Plans and billing

  • Trial: new accounts receive a 15-day free trial with access to the Service's modules.
  • Free plan: a no-cost tier available after your trial ends, with the features shown on the Plans page at the time.
  • Premium plan: billed monthly or yearly at the price shown on the Plans page at the time of your request. Prices may change; we will display the then-current price before you submit a payment request.
  • Payment method: Premium payments are currently accepted via GCash only. You submit a GCash reference number after sending payment, and an administrator manually reviews and verifies it — typically within 24 hours — before your plan is upgraded. This manual process means there may be a delay between payment and activation.
  • Rejected payments: if we cannot verify your payment (e.g., the reference number doesn't match, or no payment was received), your request will be rejected and your plan will not be upgraded. See our Refund Policy for what happens next.
  • Renewals: Premium plans do not currently auto-renew via saved payment methods — you submit a new payment request for each billing cycle. We may email you a reminder before your plan expires.

6. Your content and data

You retain ownership of the business data you enter into MicroBiz (sales records, expense entries, customer information, etc. — "Your Data"). You grant us a limited license to host, store, back up, and display Your Data solely for the purpose of operating the Service for you. You are solely responsible for the accuracy, legality, and appropriateness of Your Data, including making sure you have the right to enter any third-party information (such as a customer's name for a debt/utang record) into the Service.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or to record, launder, or facilitate proceeds of illegal activity;
  • Attempt to gain unauthorized access to other users' accounts or data, or to our systems;
  • Probe, scan, disrupt, or overload the Service's infrastructure (e.g., automated scraping, denial-of-service attempts);
  • Upload malicious code or attempt to reverse-engineer the Service beyond what applicable law allows;
  • Impersonate any person or entity, or submit fraudulent payment reference numbers or business information;
  • Use the Service to harass, defame, or violate the rights of any third party.

We may investigate suspected violations and, where warranted, suspend or terminate accounts under Section 13.

8. Intellectual property

The Service — including its software, design, logos, and MicroBiz/Via Express Solutions branding — is owned by us or our licensors and is protected by Philippine and international intellectual property law, including Republic Act No. 8293 (the Intellectual Property Code of the Philippines). These Terms do not grant you any ownership in the Service itself, only a limited, revocable, non-transferable license to use it for your own business purposes. Open-source components used to build the Service remain subject to their own respective licenses.

9. Third-party services

The Service loads certain fonts, icon sets, JavaScript libraries, and map tiles from third-party providers (see our Cookie Policy for the list), and integrates optionally with Telegram for notifications. We are not responsible for the availability, content, or practices of these third-party services, which are governed by their own terms.

10. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by Philippine law. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service — including losses resulting from inaccurate data entry, calculation errors, service downtime, or reliance on reports generated by the Service for tax, accounting, or business decisions. Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under Philippine law (for example, liability for gross negligence or willful misconduct).

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, or Your Data infringing the rights of a third party.

13. Suspension and termination

You may stop using the Service and request account deletion at any time by contacting us. We may suspend or terminate your account if you violate these Terms, if required by law, or if your account has been inactive on an unpaid trial for an extended period. Upon termination, your right to use the Service ends immediately; we will handle Your Data as described in our Privacy Policy.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service will first be attempted to be resolved informally by contacting us; if that fails, the dispute will be subject to the exclusive jurisdiction of the appropriate courts of the Philippines.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Effective date" above, and, where appropriate, notified to you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
